These Terms of Service ("Terms") govern your use of PeerInvoice (the "Service"), operated by PeerInvoice, a business based in the State of Texas ("PeerInvoice", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. What PeerInvoice does
PeerInvoice helps freelancers and independent professionals create invoices, share links to the payment methods they choose (such as Cash App, Venmo or PayPal.Me), manage client records, and, on the Pro plan, create client agreements with electronic signatures and track projects.
PeerInvoice is not a bank, payment processor, money transmitter or escrow agent. We do not receive, hold, transfer or guarantee payments between you and your clients. Client payments are made directly through third-party services you choose, under those services' own terms and fees. We are not responsible for failed, delayed, reversed or disputed payments made through those services.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information in your account, for keeping your password secure, and for everything that happens under your account. Tell us promptly if you suspect unauthorized access.
3. Your content and your clients
You keep ownership of the invoices, agreements, client information and other content you put into the Service ("Your Content"). You give us a limited license to host, process and display Your Content only as needed to run the Service for you and your clients.
You are solely responsible for Your Content, for having the right to share your clients' information with us, for the accuracy of your invoices, and for your own dealings, contracts and disputes with your clients. PeerInvoice is not a party to any agreement or transaction between you and a client.
4. Contract templates and agreements are not legal advice
Guides, templates and the Contract Shield℠ feature are provided for general information and convenience. They are not legal advice, and using them does not create an attorney-client relationship. Laws differ by location and situation. We do not promise that any template or agreement is suitable for your circumstances or enforceable in your jurisdiction. Consider having a qualified attorney review any agreement you rely on.
5. Electronic signatures
When a client signs through the Service, we record the typed name, initials, timestamp and IP address provided at signing so you have a record of the signature. You are responsible for making sure that electronic signatures are valid for your use. Both you and your client consent to doing business electronically.
6. Plans, billing and taxes
The Free plan costs nothing. The Pro plan is a paid subscription, currently $9 per month or $80 per year, which we may change on 30 days' notice before your next renewal. Payments are handled by Stripe. We do not store your full card number.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period until you cancel.
- Cancellation. You can cancel at any time from Billing in your account. Cancellation takes effect at the end of the current paid period, and you keep Pro access until then.
- Taxes. Prices exclude applicable sales, use or similar taxes, which we calculate and add at checkout where required.
- Refunds. See our Refund Policy.
- Failed payments. If a renewal payment fails, we may retry it and may suspend Pro features until it succeeds.
PeerInvoice does not charge a commission or fee on the payments your clients make to you. Third-party payment services may charge their own fees. Check their terms.
7. Acceptable use
You agree not to: use the Service for anything unlawful, fraudulent or deceptive; send invoices for goods or services that do not exist or that you do not intend to provide; impersonate another person or business; upload malicious code; probe or attack the Service; scrape or resell it without permission; or use it to harass others. We may remove content or suspend accounts that break these rules.
8. Branding and intellectual property
The Service, including its software, design and our trademarks, belongs to us and our licensors. These Terms give you a limited, revocable, non-transferable right to use the Service. If you upload a logo or other brand material, you confirm you have the right to use it.
9. Third-party services
The Service links to and works with services we do not control, including payment apps and Stripe. We are not responsible for them, and your use of them is under their own terms.
10. Availability and changes
We work to keep the Service available but do not promise it will be uninterrupted or error-free. We may change or discontinue features, and will try to give notice of material changes that affect paid features.
11. Termination
You can stop using the Service and delete your account at any time. We may suspend or end your access if you break these Terms, if required by law, or if your use creates risk for us or others. On termination, your right to use the Service ends. Sections that by their nature should survive (such as ownership, disclaimers, liability limits and governing law) will survive.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT ANY CLIENT WILL PAY AN INVOICE OR THAT ANY AGREEMENT WILL BE ENFORCEABLE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PEERINVOICE AND ITS OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT FULLY APPLY TO YOU.
14. Indemnity
You agree to defend and indemnify us against claims, losses and expenses (including reasonable attorneys' fees) arising from Your Content, your dealings with your clients, or your breach of these Terms or the law.
15. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Texas, and you and we consent to that venue.
16. Changes to these Terms
We may update these Terms. For material changes we will give notice, for example by email or in the Service, before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
