1. SCOPE OF WORK, REVISIONS & SIGN-OFF: Freelancer will execute content strategy, copywriting, and editorial assets as itemized in the milestone roadmap. Unless explicitly stated otherwise, deliverables include up to two (2) structural revision rounds per draft asset. Client must supply revisions or approvals within seven (7) business days of draft submission, after which the milestone is deemed accepted and finalized.
2. INTELLECTUAL PROPERTY & PORTFOLIO RIGHTS: Upon receipt of final cleared payment for a milestone, Freelancer assigns all copyright, title, and marketing rights for the specified copy to Client. Notwithstanding this assignment, Freelancer retains a perpetual, non-exclusive license to display excerpts, summaries, and performance metrics within confidential professional portfolios, unless a strict ghostwriting non-disclosure addendum is executed.
3. PAYMENT TERMS & DEPOSITS: Client agrees to settle balances based on the milestone payment plan. Invoices are due Net [e.g., 14] days from presentation. Delinquent accounts will accrue past-due interest at 1.5% per month or the highest localized legal statutory rate. Extended timeline delays caused by client asset collection gaps will trigger milestone pause rebalancing fees.
4. CONFIDENTIALITY & STRATEGY: Proprietary data, competitive intelligence research, or launch blueprints shared between the parties must be kept confidential and never disclosed to external third parties without clear written consent. Documentation security survives contract completion.
5. INDEPENDENT STATUS: Freelancer operates as an independent self-employed business contractor, holding complete accountability for personal income taxes, insurance liabilities, and structural overhead.
6. WARRANTIES & INDEMNIFICATION: Freelancer warrants that all produced marketing copy, scripts, and strategy deliverables are original creations and do not intentionally infringe on existing third-party copyrights or trademark protections. Client remains responsible for validating accuracy regarding localized industry compliance laws or product regulatory declarations.
7. LIABILITY CAPPING: The maximal liability exposure of either entity under this relationship framework is capped directly at the total volume of professional fees paid to Freelancer for this specific engagement, or $100.00, whichever limit is greater.
8. KILL-FEES & TERMINATION: If the project is terminated or canceled early for convenience by Client, a mandatory Liquidated Damages Kill-Fee of 50% of the remaining contract milestone value becomes immediately payable to Freelancer to cover scheduling allocations and research investments. Early termination automatically revokes any preliminary usage licenses for unpaid text concepts or draft treatments.
9. CHOICE OF LAW: The regulatory framework of the State of Texas governs this operational instrument. Any ensuing dispute channels exclusively through regional courts within that jurisdiction. The prevailing party remains eligible to recover documented legal costs and attorneys' fees.
